Terms of Service
Effective: 4 May 2026
These Terms of Service ("Terms") govern your use of the website at amzgrid.com ("Website") and the AMZGrid software service ("Service", and together with the Website, "AMZGrid"), both operated by Kukkdi Ltd, a company registered in England and Wales under company number 13116351, whose registered office is at 42 Betony Way, Colchester, CO3 8PE, United Kingdom ("Kukkdi", "we", "us", "our").
By using AMZGrid, you agree to these Terms. If you do not agree, do not use AMZGrid.
AMZGrid is currently in pre-launch. The Website describes a planned product; the Service is not yet generally available. These Terms govern your present use of the Website and your future use of the Service when it launches.
1. Definitions
In these Terms:
- "You", "your" — the person, or business entity that the person represents, using AMZGrid.
- "Account" — a registered account on the Service.
- "Customer Data" — data you submit to AMZGrid, or that AMZGrid retrieves on your behalf, including data retrieved from your Amazon seller account via the Amazon Selling Partner API.
- "Subscription Fees" — the fees payable for paid use of the Service, when introduced.
- "Documentation" — any user guides, help articles, or technical documentation we publish for AMZGrid.
2. The Service in plain English
AMZGrid is a software-as-a-service tool aimed at UK Amazon sellers. When the Service launches, it will allow you to:
- Connect your Amazon Seller Central account to AMZGrid (you authorise this through Amazon)
- Have AMZGrid read order, financial, inventory, and listing data from your seller account
- View dashboards and reports calculating your real profit, with proper UK VAT treatment across UK, EU, and US marketplaces
Until the Service launches, AMZGrid consists of the Website only. Section 6 explains the pre-launch position.
3. Who can use AMZGrid
AMZGrid is a business tool. By using AMZGrid you confirm that:
- You are at least 18 years old
- You are a sole trader, partnership, limited company, or other business entity, or an individual using AMZGrid in the course of a business
- If you are using AMZGrid on behalf of a business, you have authority to bind that business to these Terms (in which case "you" includes the business)
- You are not located in, and not acting on behalf of any person located in, a country subject to UK sanctions, and you are not on any UK or international sanctions list
AMZGrid is not intended for consumers acting outside the course of a business, and it is not directed at children. We will not knowingly accept registrations from children under 18.
4. Your account
When the Service launches, you will need to create an Account to use it. You must:
- Provide accurate registration information and keep it up to date
- Keep your sign-in credentials confidential
- Notify us promptly at hello@amzgrid.com if you suspect unauthorised access to your Account
- Take responsibility for everything that happens under your Account
We may suspend or terminate an Account that we reasonably believe is being used in breach of these Terms, used to gain unauthorised access to systems, or used in a way that puts other AMZGrid customers, our infrastructure, or Amazon's systems at risk. Where it is safe and lawful to do so, we will give you reasonable notice and the chance to put things right.
5. Pricing, billing, and payment
The Service is currently in pre-launch and is not offered for sale. When the Service is made commercially available, the following will apply:
- Subscription Fees and any plan tiers will be set out on the AMZGrid pricing page. You will see the price applicable to your plan before you are charged.
- Billing is operated by an external payment processor (currently planned: Stripe). We do not see, store, or process payment-card details ourselves.
- Subscription Fees are exclusive of VAT, which will be charged where applicable.
- You authorise the payment processor to charge your chosen payment method on each renewal date until you cancel.
- Failed payments may result in suspension of the Account after reasonable notice.
- All Subscription Fees are non-refundable except where required by law or where we expressly agree in writing.
If we change Subscription Fees for an existing plan, we will give you at least 30 days' notice before the change takes effect at your next renewal. You can cancel before the change takes effect if you do not want to accept it.
These provisions apply only once the Service is commercially launched and you sign up for a paid plan. They do not apply to pre-launch use of the Website.
6. Pre-launch and early-access access
While the Service is in pre-launch:
- The Website is available for informational use without charge or registration.
- We may offer selected users early-access participation. Early-access use is provided on an "as is" basis, with no service-level commitments, and may be modified, suspended, or withdrawn at any time. Any feedback you provide may be used by us without compensation or restriction.
- These Terms apply to early-access use, except for the pricing and billing provisions in section 5, which apply only to paid use.
7. Acceptable use
You will not use AMZGrid to:
- Break any law, or breach any contract you have with a third party
- Infringe anyone's intellectual property, privacy, or other rights
- Send spam, malware, or any harmful code
- Attempt to gain unauthorised access to AMZGrid, other Customers' Accounts, or any underlying infrastructure
- Reverse-engineer, decompile, or otherwise attempt to derive the source code of AMZGrid (except to the extent allowed by mandatory law)
- Use AMZGrid to develop a competing product, or to scrape or extract data from AMZGrid for redistribution
- Resell, sublicense, or commercially exploit AMZGrid or access to it without our written agreement
- Use AMZGrid in a way that breaches Amazon's Acceptable Use Policy, Selling Partner API Developer Agreement, or other Amazon policies that apply to your seller account
- Submit data to AMZGrid that you do not have lawful authority to submit
We may investigate any suspected breach and take action including suspension or termination. Where we reasonably believe AMZGrid is being used to harm us, our customers, or Amazon, we may suspend access immediately while we investigate.
8. Connecting your Amazon seller account
If you authorise AMZGrid to connect to your Amazon Seller Central account via the Amazon Selling Partner API:
- You confirm that you have authority to grant that access, and that doing so does not breach your contract with Amazon.
- AMZGrid will use the access only for the purposes described in our Privacy Policy and the AMZGrid Documentation. We have deliberately limited the SP-API roles AMZGrid requests so that it does not access buyer personally identifiable information.
- You can disconnect AMZGrid from your Amazon account at any time, either from within Amazon Seller Central or from AMZGrid's Account settings. On disconnection, AMZGrid will stop calling Amazon on your behalf, and we will delete the access tokens. Underlying historical data we have already retrieved is governed by the retention rules in our Privacy Policy.
- Your relationship with Amazon, and your compliance with Amazon's policies, is between you and Amazon. We are not responsible for Amazon's actions, decisions, or fees.
- AMZGrid is independent software. Kukkdi Ltd is not affiliated with, endorsed by, sponsored by, or otherwise connected to Amazon.com, Inc. or its affiliates. "Amazon", "Amazon Marketplace", "Selling Partner API", and related marks are trademarks of Amazon.com, Inc. or its affiliates.
9. Customer Data
- Ownership. As between you and us, you own Customer Data. We claim no ownership over it.
- Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Customer Data solely as needed to provide AMZGrid to you, support your use of it, and meet our legal obligations.
- Aggregated data. We may produce aggregated and de-identified statistics from Customer Data (for example, anonymised performance benchmarks across our customer base). Such data does not identify you or any individual and may be used by us for any lawful purpose, including improving AMZGrid.
- Accuracy. You are responsible for the accuracy, quality, and legality of Customer Data and for having all rights and consents needed to provide it to us.
- Backups and export. When the Service launches, we will provide a way to export your Customer Data in a reasonable, machine-readable format. We do not undertake to maintain Customer Data indefinitely; retention rules are in our Privacy Policy.
10. Our intellectual property
AMZGrid, including the Website, the Service, the Documentation, all software, designs, copy, and trademarks (including the AMZGrid name and logo), is owned by Kukkdi Ltd or our licensors and is protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable right to use AMZGrid in line with these Terms. Nothing in these Terms transfers any intellectual property to you beyond that limited right of use.
You retain ownership of any feedback or suggestions you give us, but you grant us a perpetual, irrevocable, royalty-free licence to use them without any obligation to you.
11. Privacy
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms by reference. Please read it.
12. Warranties and disclaimers
We will provide AMZGrid with reasonable skill and care.
Beyond that, and to the maximum extent permitted by law:
- AMZGrid is provided "as is" and "as available".
- We do not guarantee that AMZGrid will always be available, error-free, secure, accurate in every respect, or fit for any specific purpose you have in mind.
- The information and figures AMZGrid produces (including profit and VAT calculations) are intended as decision-support, not as professional accounting, tax, or legal advice. You are responsible for your own tax filings and should consult a qualified accountant or solicitor for material decisions.
- We do not warrant the performance of third parties (including Amazon and our sub-processors). Where AMZGrid relies on the Selling Partner API, the availability and behaviour of that API is controlled by Amazon.
Nothing in this section limits any rights you have that cannot be excluded under English law, including any non-excludable rights you may have as a consumer (although AMZGrid is not directed at consumers — see section 3).
13. Limitation of liability
Nothing in these Terms limits or excludes our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be limited or excluded by English law
Subject to that:
- We will not be liable for any indirect, special, or consequential loss; for loss of profit, revenue, business, opportunity, goodwill, anticipated savings; or for loss or corruption of data (except where caused by our wilful breach), in each case whether arising in contract, tort (including negligence), under statute, or otherwise.
- Our total aggregate liability to you in connection with AMZGrid in any 12-month period will not exceed the greater of (a) the Subscription Fees you paid us for AMZGrid in that 12-month period, or (b) £100.
These limits reflect that AMZGrid is provided as software at a price calibrated to those limits. If you require higher limits, please contact us before relying on AMZGrid for material decisions.
14. Indemnity
You agree to defend, indemnify, and hold harmless Kukkdi Ltd, our directors, employees, and agents from and against any third-party claim arising out of:
- Your breach of these Terms
- Your breach of any applicable law (including Amazon's policies)
- Customer Data you submit, or actions taken under your Account
We will give you prompt notice of any such claim, reasonable cooperation in defending it, and the right to control its defence and settlement (provided no settlement obliges us without our consent).
15. Term and termination
These Terms apply from the moment you start using AMZGrid and continue until terminated.
- You may stop using AMZGrid at any time. When the Service launches, you will be able to cancel a paid subscription from within your Account; cancellation takes effect at the end of your current billing period.
- We may terminate these Terms or your access to AMZGrid (a) for material breach of these Terms that you do not cure within 14 days of written notice, (b) immediately for breaches that cannot reasonably be cured (such as fraud), or (c) on at least 30 days' notice if we discontinue AMZGrid generally.
- On termination, your right to access AMZGrid ends. You should export any Customer Data you wish to keep before termination takes effect. We will delete Customer Data in line with our Privacy Policy retention rules.
- Survival. Sections that by their nature should survive termination (including 9 (Customer Data licence), 10 (Our IP), 12 (Disclaimers), 13 (Liability), 14 (Indemnity), 17 (Governing law), and this section) survive termination.
16. Changes
- Changes to AMZGrid. We may add, change, or remove features. If a change materially reduces the functionality you are paying for, you may cancel without further charge by emailing hello@amzgrid.com within 30 days of the change.
- Changes to these Terms. We may update these Terms from time to time. The "Effective" date at the top tells you when the current version took effect. If we make a material change, we will notify registered Account holders by email and post the new version at this URL at least 14 days before it takes effect. Continued use of AMZGrid after that period is acceptance of the updated Terms.
17. Governing law and disputes
These Terms, and any dispute or claim arising out of or in connection with them or AMZGrid (including non-contractual disputes or claims), are governed by the laws of England and Wales.
You and we agree that the courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, except that we may bring proceedings against you in any other jurisdiction in which you are resident or do business.
18. Notices
- Notices to us must be sent to hello@amzgrid.com, with a copy by post to: Kukkdi Ltd (Legal), 42 Betony Way, Colchester, CO3 8PE, United Kingdom.
- Notices to you will be sent to the email address on your Account or, where no Account exists, posted on the Website. Notice is treated as received on the day of sending if sent by email, or two business days after posting if sent by mail.
19. General
- Entire agreement. These Terms, together with our Privacy Policy and any pricing or order page you accept, are the entire agreement between you and us about AMZGrid.
- No reliance. You confirm that you have not relied on any statement, promise, or assurance not set out in these Terms.
- Severability. If any provision is found unenforceable, the rest of these Terms continue in force.
- No waiver. A delay or failure by us to enforce a right is not a waiver of that right.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign or transfer ours to an affiliate or to a successor in connection with a corporate restructure or sale.
- No agency or partnership. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.
- Force majeure. Neither party is liable for failure to perform caused by an event outside its reasonable control (including failures of the Selling Partner API or other third-party services), provided it takes reasonable steps to mitigate.
- Third-party rights. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce them.
